1. About these terms

These terms govern the use of this website, the MonoPbx software, the MonoPhone apps and the related online services (the push relay and the licence service), all provided by ILINAYA, S.A. de C.V., with registered address at Calle 2 No. 135, Piso 5, Col. Industrial Benito Juárez, 76120 Querétaro, Querétaro, Mexico ("ILINAYA", "we"). By using any of them you accept these terms. If you use them on behalf of an organisation, you confirm that you may accept these terms for it.

2. The software

MonoPbx is installed and operated by the customer on its own infrastructure. The customer is responsible for its installation: hardware and hosting, network and security configuration, backups, telephone carriers and numbers, the users it creates, and compliance with the laws that apply to its communications, including recording, consent and data protection rules.

MonoPhone connects to a MonoPbx installation and needs an account provided by that installation's administrator.

3. Licences

Use of MonoPbx is subject to the licence purchased for each installation (trial or paid) and its limits, such as the number of users, companies and simultaneous calls. When a licence ends, the installation keeps running and its data remains available, but the administration console and API may become read-only until a valid licence is applied.

Prices, billing period and the features included are those shown at the time of purchase. Payments are processed by our payment provider. Fees are non-refundable except where the law requires otherwise or where stated at purchase. Taxes are added where applicable.

You may not copy, resell, sublicense or redistribute the software except as allowed by your licence, or remove or work around licence checks. Open-source components included in the software remain under their own licences, which are listed with the software.

4. Online services

The push relay delivers incoming call and message alerts to mobile devices through Apple and Google; the licence service validates licences and processes purchases. We operate these services with reasonable care and may change, suspend or limit them for maintenance, security or abuse. Calls on desk phones, the desktop app and the web client do not depend on the push relay.

5. Acceptable use

You must not use the software or services to break the law; to send unsolicited calls or messages in breach of applicable rules; to commit fraud, including toll fraud; to infringe the rights of others; or to interfere with the operation or security of the services or of third-party networks.

6. Emergency calls

Access to emergency services depends on the customer's configuration, carriers and network. The customer must configure emergency routing and caller location as required in its country and inform its users of any limitations. Users should keep an alternative means of reaching emergency services.

7. Intellectual property

The software, apps, documentation, website and the MonoPbx and MonoPhone names and logos belong to ILINAYA or its licensors. These terms do not transfer any ownership. The customer keeps all rights to its data.

8. Privacy

How we handle personal data is described in our privacy policy. The customer is the controller of the personal data processed in its installation.

9. Warranty

We will provide the software substantially as described in its documentation. Except as stated in these terms or required by law, the software and services are provided "as is", without other warranties, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation.

10. Limitation of liability

To the extent permitted by law, ILINAYA is not liable for indirect or consequential damages, loss of profits, revenue or data, or for charges from carriers or third parties, including those caused by unauthorised use of the customer's installation. Our total liability arising from the software and services is limited to the amounts paid by the customer for the licence concerned in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.

11. Termination

You may stop using the software and services at any time. We may suspend or terminate access to the online services or a licence if these terms are seriously breached, after notice where reasonable. Sections 7, 9, 10 and 13 survive termination.

12. Changes

We may update these terms. The current version is always published on this page with its date. Material changes take effect 30 days after publication; continued use after that date means acceptance.

13. Governing law

These terms are governed by the federal laws of the United Mexican States. Any dispute is submitted to the competent courts of Mexico City, waiving any other jurisdiction that may apply because of present or future domicile, except where consumer protection law grants you a different forum.
